Indonesia to implement new framework for registration of franchises

On 30 July 2025, Indonesia Minister of Trade Regulation No. 25 of 2025 on Procedures for the Regional Governments to Issue Franchise Registration Certificates (“New Regulation”), issued on 30 June 2025, will come into effect. Under the New Regulation, regional governments are authorised to issue Franchise Registration Certificates (“Certificates”). The regional governments responsible for issuing such Certificates include the Governor of the Special Capital Region of Jakarta, the Head of the Nusantara Capital Authority, regents, and mayors (collectively, “Regional Governments”).

The Certificates issued under the authority of the Regional Governments include those for domestic franchisees, international sub-franchisees, and domestic sub-franchisees.

To apply for a Certificate, franchisees or sub-franchisees must download the appropriate form from the Online Single Submission (“OSS”) portal, complete it manually, and upload it onto OSS together with the franchise agreement.

Regional Governments will verify applications and issue Certificates through the OSS system within five working days. If issuance is delayed, proof of submission may temporarily authorise franchise activities until the Registration Certificate is issued.

Franchisees and sub-franchisees who submit applications for Certificates before 30 July 2025 must download proof of submission from the OSS system which may serve as temporary authorisation to conduct franchise activities until the Certificate is issued. They must then resubmit their application in accordance with the New Regulation.
